Terms of Use

These Terms of Use govern your access to and use of TheVoĉo services. By using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using TheVoĉo's services, including but not limited to Cloud-PBX, VoIP-Mesh, VoIP-Shield, and SIP Trunking services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services.

2. Service Description

TheVoĉo provides cloud-based telecommunication solutions including:

  • Cloud-PBX: Hosted telephony platform for business communications
  • VoIP-Mesh: Global office connectivity solutions
  • VoIP-Shield: Security and threat protection for voice communications
  • SIP Trunking: Voice over IP connectivity services
  • Custom Development: Tailored telecommunication solutions

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice to customers.

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to immediately notify TheVoĉo of any unauthorized use of your account or any other breach of security. TheVoĉo will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3.3 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. Services are intended for business use only.

4. Acceptable Use Policy

You agree not to use the Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair TheVoĉo's systems. Prohibited activities include but are not limited to:

  • Transmitting spam, unsolicited messages, or robocalls
  • Engaging in fraudulent activities or impersonation
  • Violating any applicable laws or regulations
  • Attempting to gain unauthorized access to our systems
  • Interfering with other users' access to the Services
  • Using the Services to transmit malware or harmful code
  • Reselling or redistributing Services without authorization
  • Harassment, threats, or abuse of other users

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

5. Payment Terms

5.1 Fees and Billing

You agree to pay all fees associated with your use of the Services as described in your selected pricing plan. All fees are exclusive of applicable taxes unless otherwise stated. Fees are billed in advance on a monthly or annual basis depending on your subscription.

5.2 Payment Methods

Payment must be made by credit card, bank transfer, or other payment methods we accept. You authorize TheVoĉo to charge your payment method for all fees incurred.

5.3 Late Payment

If payment is not received by the due date, we reserve the right to suspend or terminate your access to the Services. Late payments may be subject to interest charges and collection costs.

5.4 Refunds

Fees are non-refundable except as required by law or as explicitly stated in your service agreement. If you cancel your subscription, you will retain access to the Services until the end of your current billing period.

6. Service Level and Support

6.1 Service Availability

While we strive to provide reliable Services, we do not guarantee uninterrupted or error-free operation. TheVoĉo will make commercially reasonable efforts to maintain service availability of 99.9% uptime, excluding scheduled maintenance.

6.2 Maintenance

We may perform scheduled maintenance on our systems. We will provide advance notice of scheduled maintenance when possible. Emergency maintenance may be performed without prior notice.

6.3 Technical Support

Technical support is available Monday through Friday, 9:00 AM to 6:00 PM CET. Support levels and response times vary by subscription plan. Emergency support may be available for enterprise customers.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy and Data Processing Agreement. By using the Services, you consent to the collection, use, and processing of your data as described in these documents.

TheVoĉo processes personal data in accordance with GDPR and other applicable data protection laws. We implement appropriate technical and organizational measures to protect your data.

8. Intellectual Property

8.1 TheVoĉo Property

The Services, including all software, designs, text, graphics, and other content, are owned by TheVoĉo and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Services without our express written permission.

8.2 Your Content

You retain ownership of any content you upload, store, or transmit through the Services. By using the Services, you grant TheVoĉo a limited license to process, store, and transmit your content solely to provide the Services.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant TheVoĉo a perpetual, irrevocable, worldwide license to use and incorporate such feedback without compensation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEVOĈO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL THEVOĈO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO THEVOĈO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless TheVoĉo, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or data transmitted through the Services

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting our support team or through your account settings. Termination will be effective at the end of your current billing period.

11.2 Termination by TheVoĉo

We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, non-payment, or violation of our Acceptable Use Policy.

11.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may delete your data in accordance with our data retention policies. You remain liable for all charges incurred prior to termination.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

If you do not agree to the modified Terms, you must stop using the Services and may terminate your account.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the country where TheVoĉo is registered, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the competent courts in our jurisdiction.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and TheVoĉo regarding the Services.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and TheVoĉo's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
